The name of the organization is the North America-Bangladesh Statistical Association, (NABSA) henceforth referred to as the Association.
NABSA is a non-profit and non-political organization. Its primary objectives are to
contribute towards advancement of the statistical sciences and its application,
foster professional relationship and growth among the statisticians of Bangladesh origin residing in North America, and elsewhere,
establish communications with educational and research organizations and to provide training, consultation, and services in statistical sciences in Bangladesh.
The Association may have more than one category of members, including individuals and organizations. An individual member may be either a general member or an honorary member; a general member is one who pays the membership dues. Membership of the Association is open to any individual or organization interested in its objectives subject to approval of the Executive Committee.
Except as otherwise provided by this Constitution, the right to 'Vote, to sign referendum petitions, to hold office, and to sign nomination petitions shall be limited to general members.
Membership term will be from January I to December 31 of each calendar year.
Membership fee will be determined by the Executive Committee.
The membership fee is due on January I every year and is nonrefundable. A person ceases to be a member if lie/she is more than six months in arrears in payment of membership dues, such a person may be reinstated as a member without loss of continuity if he/she clears the dues within the six-mouth period.
There shall be an executive committee of the Association. The executive committee shall be elected by the general membership and shall be responsible for running the affairs of the Association. The executive committee will consist of the officers: a President, a Vice-President, a Treasurer, a General Secretary, and two Executive Members.
The President shall be the chief officer of the Association. The President shall preside over the meeting of the general membership of the, Association, and the executive Committee meetings. The President shall sign for the Association of all formal instruments and agreements; make an annual report of the affairs of the Association available to the membership at the end of the year.
In the temporary absence or disability of the President, the Vice President shall discharge the duties and exercise the powers of the President.
The Vice President will assist the President in running the affairs of ft Association.
The General Secretary will be responsible for coordinating and implementing the various activities of the Association. An executive member shall act as the General Secretary in his/her absence or when autho6zed by the General Secretary.
The Treasurer shall have the custody of the funds of the Association and shall also have Charge of disbursement of its money. The treasurer shall maintain an account with a bank exclusively for the transaction of funds of the Association, The Treasurer shall make an annual report of the accounts of the preceding fiscal year. The annual report shall be communicated to the members of the Association, The Treasurer shall maintain account list of members,
The Executive Committee will assign responsibilities to the two Executive Members.
The election shall be conducted by an Election Officer who shall be selected by the executive committee and appointed by the President of the Association. The Election Officer shall be responsible for administering the nomination process and conducting election to all elective positions of the Association as well as administering mail ballots for validly processed resolutions. In the event that there are not enough candidates for announced vacancies, the Election Officer will be responsible for obtaining additional nomination for each vacant position by active solicitation among members-at-large.
All members of the Executive Committee shall be elected by a ballot mail sent to all individual members of the Association by the election officer. The general election of the Executive Committee will be held in the month of July, The return signed ballots must be postmarked on or before May 15 of the election year.
For the office of the President, a valid nomination will require the candidate to have been a Member of the Association for the past two consecutive years and to have been nominated by at least two general members. A valid nomination for any other elected position of the Executive Committee will require the candidate to have been a Member of the Association for the past year and to have been nominated by at least two members.
The tenure of the Executive Committee will be for two calendar years will start from January 1.
In case any of the members of the Executive Committee, except for the President, shall by death, resignation, or otherwise cease to be a member during the term for which elected, a member shall be chosen by the remaining members of the Executive Committee. The person to be chosen for the position must be a member of the Association for the past one year.
In the event that the position of the President is vacant, the Vice President will serve as President for the remaining period of the term.
There shall be at least one general meeting of the Association to be held at such data and such places as will be determined by the Executive Committee. The annual meeting shall serve as a forum for open discussion of the affairs of the Association.
The President of the Association must call at least one meeting of the Executive Committee in a year. The object of such a meeting will be to evaluate the state of the Association and to formulate future goals.
The Association may issue publications from time to time. Any much publication mill be supervised by a publications committee selected by the Executive Committee.
The fiscal year of the Association shall be from January I to December 31.
The President, in consultation with the Executive Committee, shall select an independent auditor or auditing committee to make, an audit of the Association's finances of ft current fiscal year. The audit report shall be included in the annual report of the President.
Amendments to the Constitution may be proposed by the Executive Committee or by a petition signed by at least one-fifth of the members, 'An amendment originating by petition shall be referred to the Executive Committee for its recommendation as to ratification The Executive Committee may also decide upon the find form of the proposed revision.
Following ft action of the Executive Committee the General Secretary shall distribute a copy of the proposed amendment and the Executive Committee's recommendation to all members. An amendment proposed by petition and/or proposed by the Executive Committee must be submitted for vote. A two-third affirmative vote of the members voting shall be required for ratification. The total number of members voted on an amendment shall be at least fifty percent of the total membership.
